Understanding Boilerplate Clauses
- What is “boilerplate” and why is this word used?
-General principles of Boilerplate Clauses and their Purposes and Effects
-Identification of 36 standard boilerplate clauses covered by the course
Understanding the importance of the governing law choice in your contract
Party Provisions (6 clauses)
- What clauses do you find in this category? Standard examples
- Which ones are key?
- What do they mean and why are they there? Do you really need them?
-Examples from recent U.S. and U.K. Court Decisions: See the chaos lawyers' errors have caused their clients
- Tips on drafting
Exercise 1: Apply some concepts
Scope of Agreement Provisions (11 clauses) (idem)
Exercise 2: Identifying and drafting survival, severability, waiver and amendments clauses in the model supply contract; Understanding the interplay among them
Communications Provisions (3 clauses) (idem)
Exercise 3: Identifying the Party, Scope of Agreement and Communications Boilerplate Clauses in the model supply contract; Analyzing the priority clause in the model supply contract; Modifying the notice clause in the model supply contract
Liability and Enforcement Provisions (8 clauses) (idem) plus Understand the Implications of the Choice of Law in Your Contracts
Exercise 4: Analyzing the non-reliance and remedies clauses in the model supply contract
Interpretation / Definitions (8 clauses) (idem)
Exercise 5: Identifying the Liability and Enforcement Clauses as well as the Interpretation / Definition Clauses in the model supply contract; Identifying extraneous clauses in the model supply contract which don't have to be there.
