Understanding Boilerplate Clauses
- What is “boilerplate” and why is this word used?
-General principles of contract interpretation of Boilerplate
-Identification of the 42 usual boilerplate clauses
Party Provisions
- What clauses do you find in this category? Standard examples
- Which ones are key?
- What do they mean and why are they there? Do you really need them?
- Tips on drafting
Exercise 1: Identifying and drafting third party beneficiary clause in the model supply contract
Scope of Agreement Provisions (idem)
Exercise 2: Identifying and drafting survival, severability, waiver and amendments clauses in the model supply contract; Understanding the interplay among them
Communications Provisions (idem)
Exercise 3: Identifying the Party, Scope of Agreement and Communications Boilerplate Clauses in the model supply contract; Drafting notice clause in the model supply contract
Liability and Enforcement Provisions (idem)
Exercise 4: Identifying clauses which should not be in the boilerplate section of the model supply contract; correcting Applicable Law Clause
Interpretation / Definitions / Rules of Construction Provisions (idem)
Exercise 5: Putting it all together: Identifying which clauses should be in the model supply contract
